Terms & Conditions

These Terms & Conditions ("Terms") apply to all services offered by Tenzin Tserang van Iersel, operating as Ethical Business Model and Flow State Protocol (referred to in these Terms as "I", "me", or "my"). By booking, purchasing, or participating in any of my programs, you ("the Client", "you") agree to these Terms.
1. Who I am
I am Tenzin Tserang van Iersel, a sole proprietor registered with the Dutch Chamber of Commerce (KVK 74701207), based at Wilgenlaan 21, 5071 CA Udenhout, the Netherlands. I operate under the trade names Ethical Business Model and Flow State Protocol. I am exempt from VAT under the Dutch Small Business Scheme (Kleineondernemersregeling, Article 25 Wet OB 1968), so all prices and invoices are without VAT.
2. Definitions
- Client: the individual or business that books, purchases, or participates in one of my programs.
- Program: any of my offers, currently the Launchpad, the Accelerator, and Full Momentum.
- Session: a scheduled live call (group or one-on-one).
- Materials: templates, frameworks, PDFs, Notion docs, custom GPTs, Loom videos, recordings, and other resources I share.
3. The programs
The Launchpad — a six-week (45-day) group cohort program for new coaches launching their business. Includes two live group calls per week (one teaching, one Q&A), templates, and resources. Price: €600, paid upfront in full.
The Accelerator — a six-month, monthly-payment, community-based scaling program. Includes weekly live calls on topics I select, access to the Accelerator group chat, personalized Loom video answers to your questions (which may be added to a shared knowledge base), and ongoing access to me during the program.
Full Momentum — a fully customized one-on-one program. The scope, deliverables, and price are agreed individually before we start. Payment is typically a combination of upfront fee plus revenue share until a defined cap is reached, as agreed in writing.
I reserve the right to update program content, format, schedule, and pricing for future cohorts. Changes will not affect a program you have already booked.
4. How the agreement is formed
An agreement is formed when you complete payment (Launchpad, Accelerator), or when we both sign or confirm in writing (including email) the scope and terms (Full Momentum). At that point you are bound by these Terms.
5. Payment
- Launchpad: €600 paid upfront via Stripe before the cohort begins.
- Accelerator: monthly recurring payment via Stripe for six months. By enrolling you authorize automatic monthly charges for the full program duration.
- Full Momentum: upfront fee plus revenue share until the agreed cap is reached, as specified in the individual agreement.
Invoices are issued through Stripe or Wise. All amounts are in euros and without VAT (KOR exemption applies). If a payment fails or is reversed, I may suspend access to the program until payment is made. Statutory interest under Dutch law applies to late payments by business clients.
6. Cancellation, rescheduling, and refunds
Individual sessions: you can reschedule any session up to 24 hours before the start time at no cost. Sessions cancelled with less than 24 hours' notice may be forfeited at my discretion.
The Launchpad: there is no refund once your spot in a cohort is confirmed and paid. If life circumstances prevent you from joining the cohort you signed up for, you may transfer your spot to a later Launchpad cohort, subject to availability. Transfer requests must be made before the cohort starts.
The Accelerator: as a six-month commitment with monthly payments, the full six months remain payable once you have enrolled. If you wish to leave, contact me and we'll discuss options on a case-by-case basis, but no automatic refund applies.
Full Momentum: refund and cancellation terms are agreed individually in the project agreement.
If I cannot deliver: if for any reason I become unable to deliver a program — illness, force majeure, or other circumstances — I will work with you to find a solution, in this order: (1) arrange for a qualified replacement to take over, (2) pause the program and resume when possible, or (3) refund the unused portion of fees paid.
7. The "I Will Work With You" guarantee
I don't offer a money-back guarantee — I offer something different. If you complete a Program and don't yet have the results we worked towards, and you can demonstrate that you did the work asked of you (completed the assignments, attended the sessions, applied the frameworks), I commit to the following:
- You keep access to the Program and its next phases until you reach the intended outcome.
- We schedule a one-on-one reset call to review what you did, identify what isn't working, and adjust the approach.
This guarantee depends on you having genuinely engaged with the work. It is not a substitute for a refund, and it does not extend to clients who did not show up or did not implement the assignments.
8. Your role: this is "done with you", not "done for you"
The Launchpad and the Accelerator are coaching and education programs. The work — building your business, doing the exercises, applying what you learn, making decisions — is yours to do. I provide guidance, frameworks, accountability, and personalized support; I do not run your business for you. Full Momentum is the only offer that includes done-for-you elements, and the scope of those is defined in the individual agreement.
I am not responsible for outcomes that depend on actions you did or did not take. If you did not complete the work, I cannot guarantee results, and the "I Will Work With You" guarantee in section 7 does not apply.
9. Delivery and communication
- Live calls take place via Google Meet at scheduled times.
- Sessions are recorded and stored in Google Drive, accessible to participants of the relevant program.
- Materials are shared via Notion, Google Drive, email, and Loom.
- Between-session communication for Accelerator clients takes place in a WhatsApp group chat.
- I aim to respond to all messages within 24 hours on working days. Weekends and Dutch public holidays excluded.
10. Recordings
All group calls are recorded by default so participants can rewatch them. By joining a session you acknowledge it will be recorded. If you'd prefer to keep your camera off or stay silent during recording, that's fine — just let me know. Recording arrangements for one-on-one sessions in Full Momentum are agreed with you in advance.
I retain ownership of recordings. Participants are granted personal-use access for learning purposes and may not redistribute, repost, or share recordings publicly.
11. Intellectual property
All Materials — frameworks, templates, recordings, custom GPTs, Loom videos, Notion documents, and any other content I share — remain my intellectual property. By participating in a Program you receive a personal, non-transferable license to use the Materials for your own business.
You are free to apply what you learn in your own coaching, consulting, or business activities — that is, after all, the point of the work. However, you may not:
- Resell, repackage, or redistribute my Materials
- Share Materials publicly or with people outside the program
- Present my frameworks or templates as your own original work
Insights, methods, and general business knowledge you take away from the work are yours to use freely.
12. Testimonials and case studies
I may ask for testimonials or case studies from clients. I will always tell you in advance where I plan to use them — on the website, in marketing materials, or on social media — and I will only publish testimonials and case studies with your explicit consent. You can withdraw consent for future use at any time by emailing me.
13. Confidentiality
Anything you share with me in our work together — business strategies, financials, personal context, struggles — is treated as confidential and will not be shared outside our work, unless: (a) you give explicit permission, (b) it's information shared in a group setting where the cohort already heard it, or (c) I am legally required to disclose it.
In return, you agree to keep what other participants share in group settings confidential. What's said in the group stays in the group.
14. Disclaimer
My coaching is not therapy, psychological treatment, medical, legal, financial, tax, or investment advice. I am not a licensed therapist, lawyer, accountant, or financial advisor. If you have needs in those areas, please consult a qualified professional.
I share strategies and approaches based on my experience and the experience of clients I've worked with. Results vary widely from person to person and depend on factors outside my control — your market, your offer, your effort, your circumstances. I do not guarantee specific business outcomes, revenue figures, or results from participating in any Program.
15. Liability
To the maximum extent allowed under Dutch law:
- My total liability for any claim arising from a Program is limited to the amount you have paid me for that Program.
- I am not liable for indirect, consequential, or incidental damages, including lost profits, lost opportunities, or business interruption.
- I am not liable for outcomes that depend on your own actions, decisions, or external factors.
Nothing in these Terms limits liability for damages caused by intent or gross negligence on my part, as required by Dutch law.
16. Force majeure
Neither party is liable for failure or delay in performing obligations caused by events beyond reasonable control, including illness, internet outages, platform failures, natural disasters, or government restrictions. If a force majeure event prevents delivery, I will follow the steps set out in section 6.
17. Termination
I may suspend or terminate your participation in a Program — without refund — if you: (a) materially breach these Terms, (b) behave abusively, harass other participants, or disrupt the program environment, (c) fail to make required payments, or (d) violate my IP or confidentiality clauses. Termination will be communicated in writing, with reasons.
18. Complaints
If you're unhappy with anything, please tell me first. Email me at tenzin@ethicalbusinessmodel.com with a clear description of the issue and I will respond within 14 days with a proposed resolution. Most problems can be resolved this way.
19. Changes to these Terms
I may update these Terms from time to time. The version that applies to your engagement is the one in effect at the time you booked or purchased a Program. For ongoing programs (like the Accelerator), material changes will be communicated to active clients with reasonable notice.
20. Governing law and disputes
These Terms are governed by Dutch law. If a dispute cannot be resolved through the complaints procedure in section 18, it will be submitted exclusively to the competent court of the district of Oost-Brabant, the Netherlands.
